Mr. Quintero called the Meeting of the By-Laws Committee of the Greater Hartford Transit District (the “District”) to order at 6:14 p.m. in the Transit District’s Multipurpose Room, One Union Place, Hartford, CT. Committee members present included Ferguson Jansen, Mary A. Oliver, Paul McNamara and Ricardo Quintero. Kimberly Dunham, Director of Fiscal and Administrative Services, represented District Staff and performed the duties of Acting Recording Secretary.
Mr. Quintero indicated that he had distributed a workable version of the By-Laws document and requested that each committee member use that document to make recommended changes to the respective areas that they had each been asked to research. He further noted that based on a conversation with the Executive Director, there will be no reference to the appointment of directors process as it is referenced in the statutes and there will be no change in that area.
Discussion ensued regarding term limits for officers, the officer nominating process, number of committee members as well as what types of standing and ad hoc committees exist. Mr. McNamara commented on the importance of continuity and experience with regard to officers and committee members. Ms. Oliver noted the importance of protocol and recommended that a stipend for board members should be considered.
Mr. Quintero thanked the group for their input and noted that the next committee meeting will be in September and requested that draft changes be submitted to him by August 15th.
There being no further business brought before the Committee, Mr. McNamara moved that the meeting be adjourned. Upon second by Ms. Oliver, the meeting was adjourned at 6:27 p.m.
